ChemOnline.cc is a China based Global chemical site that allows its site visitors and prospective members use our Resource Provision to find easily all chemicals and allied products by Name, Synonym, Trade Name, CAS number, UNSPSC code etc, as well as using End Product to find the corresponding intermediate(s). By accessing and using the Site, you agree that you have read and understood these Terms of Use and that you accept and agree to be bound by the following Terms and Conditions of Use and any revisions we may make to these Terms and Conditions of Use. The updated or amended Terms of Use are effective immediately upon posting on the Site. You should view these Terms of Use often to keep informed of changes that may affect you, as your continued use of the Site signifies your continuing consent to be bound by the then-current Terms of Use. We expressly reserve the right to make any changes to these Terms of Use, or to the Site and its contents, at any time without prior notice to you.

2. Access, Registration and Use

Except as expressly authorized by ChemOnline.cc or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.

6. No Resale of Service

You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service. Copy or recopy of any part of the content in any English, Chinese character, or any other language is prohibited. 

7. Authority

You warrant and agree that You have all rights, including all copyrights, or have obtained all necessary third party copyright or trademark licenses and permissions in relation to Your Information and shall be solely responsible for ensuring that any material or information posted on the Service or provided to ChemOnline.cc or authorized to ChemOnline.cc to display or publish through the Service does not violate the copyright, trademark, trade secret or any other personal or proprietary rights of any third party or is posted with the permission of the owner(s) of such rights. We also disclaim all liability and make no representations or warranties for any products or services made available, sold or provided to you by any third party. 11. Disclaimer of Warranties, Limitation of Liability

To the fullest extent permitted by applicable laws, we expressly disclaim all warranties of any kind, whether express or implied, including but not limited to, warranties of title, implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement of any intellectual property rights of third party.

We make no warranty that the content, materials, goods and/or service will meet your requirements, or that your access to the site will be uninterrupted, timely, secure, or error free; nor does ChemOnline.cc make any warranty as to the results that may be obtained from the use of goods or services or as to the accuracy, reliability, completeness or timeliness of any information, content, materials obtained through the Site or that defects in software or hardware problems will be corrected.

ChemOnline.cc makes no warranty regarding any goods or service purchased or obtained through the Site or any transaction entered into through the Site

Any material downloaded or otherwise obtained through the use of the services of ChemOnline.cc is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

This disclaimer of liability applies to any damages or injury caused by the use of the Site, any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, tort, negligence, or under any other cause of action.

In event of any claims arising from the gross negligence or deliberate act of ChemOnline.cc, the claims shall be limited to the amount of fees (if any) paid for the use of goods and/or services.

ChemOnline.cc  may contain materials provided or posted by web users, advertisers, co-brander, partner or any other third party. We have not edited or reviewed any of the aforesaid materials. ChemOnline.cc shall not be responsible and liable for any losses or damages arising from the materials provided or posted by those parties. Unless stated otherwise, the materials contained in the Site shall not represent any view or opinion of ChemOnline.cc and/or its affiliated companies.

12. Indemnifiction

You agree to indemnify, defend and hold ChemOnline.cc, its employees, agents and representatives harmless from and against all claims, demands, suits or other proceedings, and all resulting loss, damage, liability, cost and expense (including reasonable attorneys' fees), made by any third party due to or arising out of content, data or information you submit, post to or transmit through the Site, your access to and use, negligent use or non-use of the Content, the Site and other materials, products and services available on or through the Site, your violation of these Terms of Use or your violation of any rights of another. We reserve, and you grant to us, the right to assume exclusive defense and control of any matter subject to indemnification by you. All rights and duties of indemnification set forth herein shall survive termination of these Terms of Use and your use of the Site

13. Governing law and Jurisdiction

By accessing the Site, you agree that any claim relating to the Site shall be governed by the laws of China without giving effect to any principles of conflicts of laws, provided that we reserve the right to pursue civil or criminal proceedings in any jurisdiction having control over you or your assets.

14. ChemOnline.cc is only a venue

ChemOnline.cc is not involved in the actual transaction between Users. As a result, ChemOnline.cc has no control over the quality, safety or legality of the items offered for sale, the truth or accuracy of the listings, the ability of the suppliers to sell the items or the ability of buyers to buy items. Further, ChemOnline.cc cannot and does not control whether or not sellers will complete the sale of items they offer for sale or buyers would complete the purchase of the items they procure through the Service. In addition, Users are hereby made aware that there may be risks of dealing with foreign nationals, under-aged persons or people acting under false pretences.

15. Charges and Fees

15.1 The rates for fees chargeable under the Service shall be published on ChemOnline.cc website. All fees (if any) shall be payable in advance to ChemOnline.cc by wire transfer, charging the User's credit card or such other method acceptable to ChemOnline.cc, in US Dollars or its equivalent in such other currency as permitted by ChemOnline.cc. Unless otherwise agreed between ChemOnline.cc and any User, all payments made are non-refundable.
15.2 All rates are exclusive of any taxes, duties or other governmental, banking or transactional and handling charges or levies that each User shall continue to be liable for as and when the same is imposed or incurred.
15.3 ChemOnline.cc reserves the right to modify its pricing structure and payment conditions from time to time at its sole discretion if not less than fifteen (15) days notice shall be given to each User.

16. Termination of Membership

16.1 ChemOnline.cc may terminate the Service at any time on the giving of at least one (1) months notice to the User or immediately by notice if there is any breach of a material term of these terms and conditions by the User.
16.2 ChemOnline.cc may also terminate the provision of the Service to any User if such User's membership has not been activated or his account remains inactive for three (3) consecutive months. In such a case, if the User wishes to reactivate his account, the User shall be required to proceed with ChemOnline.cc 's registration process to re-register as a User of the Service.
16.3 Without limitation to any remedies that may be available, ChemOnline.cc may immediately issue a warning, temporarily suspend (whether for a fixed period or indefinitely) or terminate a User's membership, any of the User's listings or any other information placed by the User on ChemOnline.cc 's website if (a) the User breaches a material term herein;(b) ChemOnline.cc is unable to verify or authenticate any information provided by the User; or(c) ChemOnline.cc believes in its sole discretion that the User's act or omission may cause legal liability for the User, any other Users, third party service providers or ChemOnline.cc. Furthermore, ChemOnline.cc may suspend or terminate any User's membership if the User is found (whether by conviction, settlement, insurance or escrow investigation or otherwise) to have engaged in fraudulent activity in connection with the use of ChemOnline.cc 's website or the Service.
16.4 Upon termination, all licenses, rights and privileges granted to the User shall cease.
16.5 Notwithstanding any of the above provisions, termination of the relationship herein shall not affect any accrued rights or liabilities of either party nor shall it affect the coming into force or the continuance in force of any provision contained herein which is expressly or by implication intended to come into or continue in force on or after such termination.
